Terms of Use

1. Introduction and Acceptance of Terms

Welcome to QTP. These Terms of Use (the "Terms") form a binding legal agreement between you ("you", "your", or "User") and Quote This Project ("QTP", "we", "us", or "our"), the operator of the QTP mobile application and the website located at https://qtpapp.com (collectively, the "Platform").

By accessing, downloading, installing, registering for, or using the Platform in any way, you acknowledge that you have read, understood, and agree to be bound by these Terms, together with our Privacy Policy and any other policies referenced herein. If you do not agree to these Terms, you must not access or use the Platform.

PLEASE READ CAREFULLY. These Terms contain important provisions — including limitations of liability, disclaimers of warranties, indemnification obligations, and a description of QTP's limited role as a neutral connection platform — that affect your legal rights. You should read them in full.

2. Definitions

For the purposes of these Terms, the following capitalized terms have the meanings set out below:

• "Content" means any text, images, photographs, reviews, ratings, job postings, profile information, messages, communications, or other material submitted to, displayed on, or transmitted through the Platform.
• "Helper" means any User who offers to perform Tasks through the Platform, including certified tradespeople, uncertified handymen or handywomen, student helpers, and other individuals offering services.
• "Homeowner" means any User who uses the Platform to locate, contact, or engage a Helper to perform a Task.
• "Task" means any service, job, project, or work arrangement posted, discussed, negotiated, agreed upon, or performed between Users, including but not limited to repairs, maintenance, installation, cleaning, yardwork, moving, assembly, errands, or similar activities.
• "User Interaction" means any communication, arrangement, transaction, meeting, or relationship formed between Users, whether initiated on or off the Platform.

3. Nature of the Platform — QTP Is a Connection Platform Only

QTP is a technology platform, not a service provider, employer, contractor, agent, broker, or intermediary in any Task. The Platform exists solely to help members of a community connect with one another so that they may, at their own discretion, arrange for Tasks to be performed.

You expressly acknowledge and agree that:

• QTP does not perform, supervise, direct, manage, schedule, quality-control, or otherwise oversee any Task.
• QTP does not employ, engage, contract with, or act as an agent for any Helper. Helpers are independent individuals, and no employment, agency, partnership, joint venture, or franchise relationship exists between QTP and any User.
• QTP does not collect, process, hold, escrow, release, refund, or otherwise handle any funds exchanged between Users. All payment arrangements are made directly between Homeowners and Helpers, off-Platform, using methods chosen solely by the Users involved.
• QTP does not set, recommend, negotiate, or enforce prices, rates, tips, cancellation fees, or any other financial terms between Users.
• QTP does not guarantee that any Homeowner will find a suitable Helper, or that any Helper will find work.
• QTP does not guarantee the availability, quality, safety, legality, timing, or outcome of any Task or User Interaction.
• Any contract, agreement, or understanding reached between Users is solely between those Users. QTP is not a party to it, is not involved in its formation or performance, and bears no responsibility for it.

4. No Verification, Certification, or Endorsement of Users

Helpers on the Platform include both certified and uncertified individuals, as well as students. QTP provides Users the ability to describe themselves — including skills, experience, certifications, qualifications, credentials, licensing, insurance, and references — but QTP does not independently verify the accuracy, completeness, or currency of any such information unless expressly stated in writing by QTP.

You acknowledge and agree that:

• QTP does not perform background checks, reference checks, identity verification, criminal record checks, insurance verification, licensing verification, or qualification verification on any User, unless specifically and conspicuously indicated for a particular program or feature.
• Any designation such as "certified," "verified," "reviewed," "rated," "trusted," or similar labels on the Platform is informational only and does not constitute a recommendation, endorsement, guarantee, or warranty by QTP.
• Ratings, reviews, and feedback posted on the Platform are the opinions of individual Users and do not reflect the views of QTP.
• It is your sole responsibility to perform your own due diligence before engaging any other User — including, where appropriate, confirming identity, qualifications, insurance, licensing, references, and legal authorization to perform the Task.
• For Tasks that may require specific licensing, permits, insurance, or regulatory compliance under applicable law (for example, electrical, plumbing, gas, structural, or HVAC work), it is the sole responsibility of the Homeowner and the Helper to ensure compliance. QTP makes no representation that any User is qualified or authorized to perform any such Task.

5. Eligibility

To access or use the Platform you must:

• Be at least the age of majority in your province, territory, state, or country of residence (in Ontario, Canada, the age of majority is 18). Users under the age of majority (such as student helpers) may use the Platform only with the verifiable consent and supervision of a parent or legal guardian, and the parent or legal guardian agrees to be bound by these Terms on behalf of the minor.
• Have the legal capacity to enter a binding contract.
• Not be barred from using the Platform under applicable law or by any previous QTP account for suspension or termination.
• Provide accurate, current, and complete information during registration and keep it updated.

By using the Platform, you represent and warrant that you meet all eligibility requirements above.

6. Accounts and Security

To access certain features, you must create an account. You are responsible for:

• Maintaining the confidentiality of your login credentials.
• All activity that occurs under your account, whether authorized by you or not.
• Notify QTP immediately of any unauthorized access, use, or security breach involving your account.

QTP is not liable for any loss or damage arising from your failure to comply with these obligations. We may suspend, restrict, or terminate accounts at our sole discretion, including where we reasonably believe a User has violated these Terms.

7. User Conduct and Prohibited Activities

You agree to use the Platform lawfully, respectfully, and in good faith. You must not, and must not allow any other person to:

• Use the Platform for any illegal, fraudulent, harmful, harassing, threatening, abusive, discriminatory, defamatory, or deceptive purpose.
• Misrepresent your identity, qualifications, certifications, credentials, insurance, licensing, or any other information, or impersonate any person or entity.
• Post false, misleading, or manipulative ratings, reviews, or reports.
• Solicit, request, or share sensitive personal information (such as banking credentials, government IDs, or passwords) from other Users through the Platform.
• Attempt to circumvent the Platform, including by directing Users off-Platform for the purpose of evading Platform safeguards, fees (if any), moderation, or review systems.
• Scrape, harvest, collect, or store information about other Users other than as permitted by these Terms.
• Introduce viruses, malware, or other harmful code; interfere with the Platform's security, integrity, or performance; or attempt to gain unauthorized access.
• Use the Platform to send unsolicited marketing, spam, chain messages, or pyramid schemes.
• Engage in any activity that exposes another User to risk of harm, injury, or loss, including requesting or performing Tasks in an unsafe manner or in violation of applicable safety, building, electrical, or health codes.
• Use the Platform in any manner that could disable, overburden, damage, or impair it, or interfere with any other User's use and enjoyment.

QTP reserves the right, but not the obligation, to investigate and take action (including account suspension, content removal, or reporting to law enforcement) in response to any suspected violation.

8. Platform Operations, Uptime, and AI-Assisted Moderation

QTP is committed to:

• Maintaining and modernizing the Platform on a commercially reasonable, best-efforts basis.
• Working to provide reasonable uptime and availability, while acknowledging that no online service is uninterrupted or error-free.
• Continuing to improve Platform features, functionality, and user experience over time.
• Operating automated systems, including artificial intelligence and machine learning tools, to assist in moderating interactions between Users, detecting suspicious behaviour, and helping flag content or conduct that may violate these Terms.

The foregoing commitments are goals and best-efforts activities, not guarantees. AI-assisted moderation is probabilistic, not definitive. It may fail to detect policy violations or may incorrectly flag acceptable conduct. The existence of moderation tools does not transfer responsibility to QTP for the behaviour of Users, and Users must not rely on moderation as a substitute for their own judgment, diligence, and caution.

Outside of the operational activities described in this Section 8, QTP assumes no responsibility for User conduct, User Interactions, Tasks, or their outcomes.

9. Payments, Taxes, and Insurance

QTP does not process, collect, hold, or distribute any funds. All payments between Homeowners and Helpers are arranged directly between those Users, using methods they select, entirely outside the Platform.

You are solely responsible for:

• Determining, negotiating, and agreeing upon pricing and payment terms directly with the other User.
• Reporting, collecting, and remitting any applicable taxes (including income tax, sales tax, HST/GST, or withholding) arising from any Task.
• Obtaining any insurance coverage you deem appropriate for your participation on the Platform, including liability insurance, property insurance, or workers' compensation coverage, as applicable.
• Complying with all laws and regulations applicable to your role, including employment, tax, licensing, health and safety, and consumer protection laws.

QTP makes no representation and provides no guidance regarding the tax, legal, employment, or insurance consequences of any Task or User Interaction, and you should consult qualified professionals for advice specific to your situation.

10. User Content

You retain ownership of Content you submit to the Platform. By submitting Content, you grant QTP a worldwide, non-exclusive, royalty-free, sublicensable, and transferable licence to host, store, reproduce, modify (for formatting and display purposes), publish, publicly display, distribute, and use the Content in connection with operating, providing, promoting, and improving the Platform.

You represent and warrant that: (a) you own or have the necessary rights to the Content you submit; (b) your Content does not infringe any third party's intellectual property, privacy, publicity, or other rights; and (c) your Content complies with these Terms and applicable law.

QTP may, but is not obligated to, review, moderate, remove, or disable Content at any time, in its sole discretion, including Content that QTP believes violates these Terms or may harm the Platform or its Users.

11. Intellectual Property

The Platform, including its software, design, layout, graphics, text, logos, trademarks, and other original content (excluding User Content), is owned by or licensed to QTP and is protected by copyright, trademark, and other intellectual property laws.

QTP grants you a limited, personal, non-exclusive, non-transferable, revocable licence to access and use the Platform for its intended purpose in accordance with these Terms. Any other use, including copying, modification, distribution, reverse engineering, creation of derivative works, or commercial exploitation, is strictly prohibited without QTP's prior written consent.

12. Third-Party Services and Links

The Platform may contain links to, or integrate with, third-party websites, services, or applications (for example, mapping, messaging, or identity services) that are not owned or controlled by QTP. QTP is not responsible for the availability, content, privacy practices, or terms of any third-party service. Your use of third-party services is at your own risk and subject to the third party's own terms and policies.

13. Privacy

Your use of the Platform is also governed by our Privacy Policy, available at https://qtpapp.com/privacy, which is incorporated into these Terms by reference. Please review the Privacy Policy to understand how we collect, use, and share personal information.

14. Disclaimers of Warranties

THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, QTP, ITS AFFILIATES, AND THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AND AGENTS DISCLAIM ALL WARRANTIES, REPRESENTATIONS, AND CONDITIONS OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, TITLE, ACCURACY, RELIABILITY, AND UNINTERRUPTED OR ERROR-FREE OPERATION.

Without limiting the foregoing, QTP makes no representation or warranty that:

• Any User is truthful, reliable, qualified, skilled, insured, licensed, safe to interact with, or suitable for any particular Task.
• Any Task will be performed, performed on time, performed to any particular standard, or performed lawfully.
• Any Content posted by Users is accurate, complete, or up to date.
• The Platform will be uninterrupted, secure, timely, or error-free, or that defects will be corrected.
• The Platform or any servers used by QTP are free of viruses or other harmful components.

You assume all risk arising from your use of the Platform and from any User Interaction or Task.

15. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, QTP, ITS AFFILIATES, AND THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AND AGENTS SHALL NOT BE LIABLE for any indirect, incidental, special, consequential, exemplary, or punitive damages; loss of profits, revenue, data, goodwill, business opportunity, or anticipated savings; bodily injury, property damage, emotional distress, or death; theft, fraud, or criminal conduct by any User; or any damages arising from or relating to: (a) any User, User Content, User Interaction, or Task; (b) any act or omission of any User, whether on or off the Platform; (c) any inability to access or use the Platform; (d) any reliance on information or moderation decisions made available through the Platform; or (e) any unauthorized access to or alteration of your Content, account, or transmissions; regardless of the theory of liability (contract, tort including negligence, strict liability, statute, or otherwise), and even if QTP has been advised of the possibility of such damages.

Aggregate Cap. In no event shall QTP's aggregate liability to you, arising out of or relating to these Terms or the Platform, exceed the greater of (i) the total amount you have paid directly to QTP (if any) in the twelve (12) months preceding the event giving rise to the liability; or (ii) one hundred Canadian dollars (CAD $100).

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities. To the extent such law applies to you, some of the above exclusions or limitations may not apply, and QTP's liability will be limited to the minimum extent permitted by law.

16. Assumption of Risk and Release

You acknowledge that using a peer-to-peer connection platform involves inherent risks, including the risk of interacting with strangers, the risk of property damage, the risk of bodily injury, and the risk of financial loss. You voluntarily assume all such risks.

Release. You hereby release, waive, and forever discharge QTP and its affiliates and their respective officers, directors, employees, contractors, and agents from any and all claims, demands, actions, causes of action, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) of every kind and nature, known or unknown, arising out of or relating to any User, User Content, User Interaction, or Task. If you are a resident of a jurisdiction that restricts such releases, this release applies to the maximum extent permitted by applicable law.

17. Indemnification

You agree to indemnify, defend, and hold harmless QTP, its affiliates, and their respective officers, directors, employees, contractors, and agents from and against any and all claims, demands, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or relating to: (a) your use of the Platform; (b) your Content; (c) your breach of these Terms or any representation or warranty made by you; (d) your violation of any law or any third-party right; or (e) any User Interaction or Task in which you participated or that you facilitated.

18. Suspension and Termination

QTP may, in its sole discretion and without prior notice, suspend, restrict, limit, or terminate your access to all or part of the Platform, or remove any Content, for any reason, including suspected violation of these Terms, suspected fraud or harm to other Users, or legal or regulatory requirement.

You may stop using the Platform and delete your account at any time. Provisions that by their nature should survive termination will survive, including Sections 3 (Nature of the Platform), 4 (No Verification), 7 (Conduct), 9 (Payments, Taxes, Insurance), 10 (User Content), 11 (Intellectual Property), 14 (Disclaimers), 15 (Limitation of Liability), 16 (Assumption of Risk), 17 (Indemnification), 19 (Governing Law), 20 (Dispute Resolution), and 22 (General Provisions).

19. Governing Law

These Terms are governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-laws principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

20. Dispute Resolution

Informal Resolution. Before filing any formal claim, you agree to first contact QTP in writing at [email protected] and attempt in good faith to resolve the dispute informally for a period of at least thirty (30) days.

Jurisdiction. Subject to any mandatory consumer protection laws that apply to you, you and QTP agree that the courts located in Ottawa, Ontario, Canada have exclusive jurisdiction over any dispute, controversy, or claim arising out of or relating to these Terms or the Platform, and you consent to the personal jurisdiction of those courts.

Class Action Waiver. To the maximum extent permitted by applicable law, you and QTP agree that any proceedings will be conducted only on an individual basis and not as a class, collective, or representative action.

21. Changes to These Terms

QTP may modify these Terms from time to time. When we do, we will update the "Last Updated" date above and, where changes are material, provide reasonable notice (for example, by in-app notification or email). Your continued use of the Platform after the effective date of any changes constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Platform.

22. General Provisions

• Entire Agreement. These Terms, together with the Privacy Policy and any other policies referenced, constitute the entire agreement between you and QTP regarding the Platform and supersede all prior agreements and understandings.
• Severability. If any provision of these Terms is held invalid or unenforceable, the remaining provisions will remain in full force and effect, and the invalid provision will be modified only to the extent necessary to make it enforceable.
• No Waiver. QTP's failure to enforce any provision is not a waiver of its right to do so later.
• Assignment. You may not assign or transfer these Terms without QTP's prior written consent. QTP may assign these Terms at any time, including to an affiliate or in connection with a merger, acquisition, or sale of assets.
• Force Majeure. QTP is not liable for any failure or delay caused by events beyond its reasonable control, including natural disasters, war, terrorism, civil unrest, pandemic, labour disputes, power or internet outages, or acts of government.
• Notices. Notices to QTP must be sent to [email protected]. Notices to you may be provided through the Platform, by email to the address associated with your account, or by any other reasonable means.
• Language. The parties have requested that these Terms and all related documents be drawn up in English. Les parties ont exigé que cette convention et tous les documents connexes soient rédigés en anglais.
